Senior Counsel, Corporate And Securities

Senior Counsel, Corporate and Securities Duties: Handling SEC reporting and compliance matters (including legal review of periodic reports, earnings releases and Section 16 filings). Supporting corporate governance and corporate secretary (including preparation for board and committee meetings, drafting meeting minutes and ownership of the annual proxy statement and stockholder meeting). Driving treasury matters, including capital markets transactions, stock repurchases, hedging programs and intracompany transactions. Supporting executive compensation matters, including preparation of CD&A. Reviewing SEC rules, as well as other relevant professional resources, on a regular basis to keep up with corporate governance trends.

Qualifications: JD degree with strong academic credentials. Should have 7+ years in securities law ( 33 and 34 Act), SEC reporting matters and corporate governance experience (2+ years in-house at a publicly-traded company preferred). Exposure to strategic transactions, especially drafting. Excellent interpersonal, written, and oral communication skills. Attention to detail and strong project management skills. The ability to work collaboratively and effectively with business clients Desired Qualifications: Hands-on experience leading the development of proxy statements at a large-cap public company. Several years of experience at a leading corporate and securities law firm. Working knowledge of employee benefits and ERISA. Demonstrated success working in a remote or hybrid position.
