Deputy General Counsel - Corporate Securities

Deputy General Counsel - Corporate Securities The candidate will provide advice regarding 1933 Act and 1934 Act securities matters. Prepare SEC and NYSE filings and remain abreast of SEC regulatory developments and NYSE rules. Provide analysis and counsel on legal and policy issues. Anticipate and guard against legal risks facing the company. Develop and recommend company policy and position on legal issues. Conduct and coordinate research into a variety of legal issues. Write, review, and edit reports, press releases, opinions, correspondence, articles, and other documents. Manage acquisitions and joint venture transactions. Handle corporate governance matters. Prepare private placement offering documents. Assist with corporate matters as needed. Should have a Bachelor's degree, and a Juris Doctor degree from a top-tier American Bar Association accredited law school with demonstrated excellent academic performance. Should have 5+ years experience as a licensed, practicing attorney, with strong, demonstrated securities law knowledge. Must have a license/admission to a state bar with an active membership in good standing to practice in Texas, or another U.S. state with eligibility to work as in-house counsel in Texas. Texas bar admission is highly preferred. Should preferably have 5-10 years of experience as a licensed, practicing attorney, with strong, demonstrated corporate securities knowledge.
