Associate Counsel, Real Estate The candidate will research and review real estate documents/arrangements. Research applicable issues pertaining to contracts. Draft and review all contracts. Maintain the master contract data base. Prepare, draft, and edit real estate documents, including but not limited to leases, amendments, estoppel certificates, and other landlord/tenant documents for General Counsel's review. Assist the General Counsel with landlord/tenant matters, including but not limited to dispute resolution, lease terminations, and lease extensions. Assist with contract disputes, terminations and/or amendments. Assist in providing legal guidance to Professional's managers and supervisors regarding Real Estate and Contract matters. Assist the General Counsel in developing and recommending Company policy and position on real estate and contract issues. Prepare documents, including but not limited to writing, reviewing and editing real estate and/or contract reports, correspondence, proposals, demands, agreements and other documents pertaining to real estate and contract matters for General Counsel's approval. Maintain a working knowledge of HIPAA, OSHA, Health Law and Compliance Regulations. Provide legal support for special projects/implementation and other business development matters related to real estate and contracts. Identify issues arising from actual or anticipated demands, claims or lawsuits pertaining to real estate and contracts. Conduct and coordinate research pertaining to a variety of legal issues pertaining to real estate and contracts for review by General Counsel. Create Lease Abstracts for all Company lease agreements. Create and maintain lease and contract databases and prepare various real estate and contract dashboards and reports. Draft, negotiate and revise transactional documents. Conduct research and analysis regarding state and federal legal and regulatory matters that impact transactions. Perform other duties as assigned by the General Counsel.

The candidate should have a Bachelor's Degree (B.A. or B.S.) and Juris Doctorate Degree (J.D.) from an accredited law school. Must be licensed to practice law in the state of New York; may be licensed in another state with NY authorized in-house status . Should have 2 years of legal experience; real estate and/or health care experience is strongly preferred. Effective communication skills are required; must be accurate, concise and organized in verbal and written communications. Excellent problem-solving skills are required. Must have strong negotiation skills. Strong knowledge of Word, Excel, and PowerPoint. Works well under pressure in order to meet strict deadlines.
