Director, Litigation and Compliance Counsel RESPONSIBILITIES: Lead and manage complex litigation and arbitration matters and other disputes (including commercial and employment), develop strategies to resolve them in the best interests of the company, and work with the legal team and company executives to ensure these strategies align with business goals. Assist team in resolving disputes before any litigation has been filed and provide ongoing counseling and legal advice to minimize risk to the company. Manage tracking of pending litigation matters, assigned outside counsel, case status, and potential exposure. Represent the company in mediations, depositions, and court, as needed. Conduct other litigation related tasks including effectively managing electronic discovery and legal holds, responding to subpoenas, and defending depositions of employees in third-party cases. Proactively consider lessons learned for each matter and monitor trends in claims and litigation both inside and outside of the Company and advise and communicate regarding same within the Legal Department and with the business unit leaders. Design and implementation of corporate compliance program and policy development across global organization of 10,000+ employees to ensure compliance with internal and external regulatory frameworks particularly in the areas of data privacy, anti-corruption, and anti-competition programs. Assess the current compliance program, and design and develop improvements including with respect to policies, training, audits, processes, risk assessments and reporting. Continually assess systems, processes, and controls to assure compliance with all appropriate national and international regulations and verify practices and systems are in place to enable compliance initiatives, inspections, and training occur with regularity. Conduct risk assessments in areas of responsibility and work with owners to develop mitigation plans based on findings. Keep informed of relevant regulations and case law and assist in advising the company on strategic, business-oriented compliance guidance. Developing collaborative and influential relationships with Business Units, Commercial, Information Security, IT, HR and the Finance and Internal Audit team, proactively advise all of regulatory risk. Conduct, oversee, and close-out investigations as required in the areas of responsibility

QUALIFICATIONS: Should have 8+ years of litigation and compliance; 3+ years at a law firm; 3+ years of in-house counsel. Hands-on experience handling the initial aspects of litigation, including the initial investigation, legal research, pleadings, motions practice, and discovery. Experience resolving disputes through ADR, including mediation and arbitration. Experience engaging with regulators, including States AG, FTC, DOJ, and global data protection authorities. Experience in addressing global compliance issues. Experience and demonstrated success in driving and managing large projects. Experience managing outside counsel and budgets. Excellent knowledge of compliance program design and implementation, reporting procedures and recordkeeping. Demonstrated ability to analyze and understand complex laws and regulations and translate into policies and procedures for an organization. Demonstrated ability to partner with stakeholders and to create solutions to address business concerns while ensuring legal compliance.
