Associate Corporate Counsel

Associate Corporate Counsel The candidate will assist in preparing our public disclosure documents, including SEC periodic reports such as 10-Ks, 10-Qs, 8-Ks, Proxy Statements, Section 16 filings, and other related documents. Support mergers and acquisitions activity, strategic investments, and related commercial transactions, including drafting, reviewing, and negotiating various transaction documentation. Manage all aspects of our equity and executive compensation matters, including administering the Insider Trading Policy, 10b5-1 plans, and related employee and director equity matters. Draft and review public communications, including press releases and investor presentations. Support secretarial function, including preparing materials for the board of directors and related committees, assisting with the Annual Meeting of Stockholders, managing corporate governance and compliance matters, and maintaining corporate resolutions, minute books, and corporate records. The candidate should have 2 years of relevant corporate legal experience in mergers and acquisitions, corporate securities, or equity compensation matters at a law firm; in-house experience at a public company is a plus. A Juris Doctorate from an ABA-accredited law school, with excellent academic credentials. Active membership in good standing with the Massachusetts Bar or the ability to be admitted as in-house counsel in Massachusetts. A track record of a practical business and solution-oriented approach to resolving issues. Strong organization skills and the ability to work both independently and as a member of a team. The proven ability to develop collaborative relationships with internal partners, excellent interpersonal, communication, analytical, and influencing skills, with a strong emphasis on the ability to articulate complex legal issues in a clear and actionable way. Excellent written and verbal communication skills, attention to detail, good business judgment, and the ability to handle multiple projects simultaneously.
