Corporate Legal Counsel

Corporate Legal Counsel Duties: Responsible for legal guidance and support in the company in areas such as general corporate guidance, mergers &acquisition support, and corporate governance. Draft and negotiate a wide variety of corporate legal agreements and documents (both in the US and internationally) ensuring company protection and risk avoidance. Communicate and partner with senior business leaders across the organization on a routine basis for legal support and guidance. Manage outside legal counsel for specific global corporate legal guidance. Support and advise the business in all areas of compliance including data privacy. Develop and implement processes to provide efficient and sophisticated service by the legal group. Maintain and revise template agreements as required. Identify contractual risks and suggest alternatives that lead to optimal solutions. Work cross-functionally with sales, finance, HR, and operations teams to ensure that contractual terms are compliant with legal, regulatory, and company policies and risk preferences. Qualifications: JD required from accredited law school. 4-6 years of experience in a progressive legal counsel capacity. Experience in both law firm and in-house counsel roles is preferred. Requires extensive corporate counsel experience in a fast-paced organization with extensive experience in M&A activities. Must have excellent analytical, negotiation, communication, and contract drafting skills and work well with several different stakeholders. Organized with high attention to detail, ability to work in a fast-paced environment, approachable and able to work collaboratively and autonomously, and ability to exercise sound legal and commercial judgment. Experience negotiating complex corporate agreements. Experience working with online advertising companies (ad tech, media buying, or supply-side) or other online services companies is a plus.
