Legal Counsel, Corporate Governance The candidate will support Chief Legal Officer and Splunk's Office of the Corporate Secretary on all aspects of the company's sophisticated and award-winning (!) corporate governance, including support of all major processes related to the Board of Directors, Board committees, executive leadership, and others in all areas of corporate governance, securities regulation, and compliance. Lead the coordination, preparation and distribution of agendas, resolutions, consents, minutes, and shape content along with other key stakeholders for Board of Directors and committee meetings, as well as assist with director and executive onboarding. Prepare materials for the Governance & Sustainability Committee of the Board of Directors, including materials relating to director succession planning, corporate governance updates, and Board and director evaluations. Prepare and maintain corporate governance documentation, including corporate governance guidelines, committee charters and related-party transactions policy. Stay current on corporate governance trends and best practices and Nasdaq developments, and translate into clear, concise and actionable guidance. Work with the ESG team and cross-functional partners on ESG governance, reporting initiatives, engagement and disclosure. Support executive, director and equity compensation program design, implementation and administration, including related registration, listing and disclosure requirements. Assist with drafting various portions of the annual meeting proxy statement and preparation for the company's annual meeting of stockholders, including in-depth off-season and in-season stockholder engagement. Work collaboratively and responsively with a broad range of internal business partners across the organization to facilitate a coordinated team approach, while ensuring appropriate governance and controls are in place. Develop and implement processes and playbooks to enable continued scale within corporate legal function. Advise on general corporate matters. Pitch in on whatever legal work needs doing, whenever it needs to be done. Effectively manage outside counsel as needed.

The candidate should have a J.D. from a top-tier law school and good standing to practice law in the State of California. Should have 6-9 years of relevant experience at a law firm; experience at a publicly-traded technology company. Significant experience advising clients on corporate governance matters. Excellent written, communication and interpersonal skills and the ability to connect with, and gain the respect of, stakeholders at all levels. Ability to adapt to and thrive in a dynamic environment of rapid growth, preferably in or with fast-paced tech-driven companies. Excellent project management skills. Be organized, efficient and resourceful with strong follow-through abilities. Excellent business sense and legal judgment, with the ability to be strategic as well as detail-oriented. Be able to simultaneously manage and stage workloads, multiple client demands and shifting priorities within a rapidly evolving environment.
