Corporate Counsel - Mergers & Acquisitions

Corporate Counsel - Mergers & Acquisitions Duties: Work primarily on mergers and acquisitions, strategic investments, joint ventures, and other corporate transactions, but also on transactional matters. Report to and work under the direction of General Counsel and work closely with the acquisitions team, as well as other cross-functional groups (e.g., finance, tax, etc.) in actively managing M&A transactions, including drafting, reviewing, and negotiating non-disclosure agreements, letters of intent, term sheets, definitive purchase agreements, and other relevant agreements, as well as managing and performing legal due diligence. May be required to provide legal support with respect to other aspects of business. Qualifications: Doctor of Law degree (J.D.) from Top 100 accredited law school required. Member of California or other state Bars in good standing. Should have 2-5 years ? relevant practice experience./ Large law firm experience. General corporate and M&A experience highly desired. Strong drafting, negotiating and communications skills required, including the ability to problem solve in a business-friendly, creative manner. Superior interpersonal skills, including a sense of humor. Ability to work effectively both in teams and independently, manage multiple projects, make effective decisions and collaborate with internal and external resources. Ability to prioritize, organize, and work under deadlines.
