Corporate Counsel - Mergers And Acquisitions

Corporate Counsel - Mergers And Acquisitions Duties: Partner with Corporate Development in the assessment and execution of potential acquisitions, divestitures, investments, and joint ventures globally, inclusive of providing legal and strategic advice. Find creative solutions to achieve strategic and financial deal objectives. Be partnering with our corporate venture capital team by providing legal and strategic advice and executing investment transactions. Lead the drafting and filling of the company's annual proxy statement including the CD&A and manage shareowner and management proposals. Along the way, assist in the preparation and filing of the company's SEC filings, including periodic reports, current reports, and registration statements. Additionally, partner with Corporate Secretary with the review and preparation of materials required for meetings of the Board of Directors and its Committees and assist in the preparation for the company's annual shareholder meeting. Advise on insider trading programs and policies, provide advice on disclosure matters, and ensure the company's compliance with NYSE listing standards, and monitor and implement governance practices for the company. Provide Counsel support to assist Tax and Treasury teams by providing legal and strategic advice, and execution of global tax and treasury transactions, including capital markets transactions. Qualifications: Juris Doctorate and Licensed attorney. Should have 5+ years of related legal experience in securities law, corporate governance, and M&A. Business background with demonstrated ability to work with business teams. In-depth knowledge of a variety of legal issues, including securities law, corporate governance, NYSE rules, and contract law. Understand negotiation techniques; be an effective negotiator. Understand current and emerging substantive legal issues. Proven ability to successfully, creatively, and timely handle multiple legal matters in various legal areas. Demonstrated ability to understand and analyze complex legal matters. Demonstrated ability to draft clear and concise language in disclosure documents and contracts.
