Senior Corporate Counsel

Senior Corporate Counsel The candidate will work closely with the corporate venture capital and corporate strategy and development teams to provide legal advice for a variety of venture capital investments, as well as support for mergers and acquisitions, including reviewing, drafting, and negotiating term sheets and financing agreements, managing diligence, and counseling on regulatory issues, including CFIUS, and working with international teams on cross-border transactions. Provide advice on general corporate law and governance matters, and work on a variety of commercial agreements. Advise business teams on both U.S. and cross-border strategic venture capital investments. Support the corporate development team on mergers and acquisitions, and strategic transactions across all stages. Work directly with internal stakeholders and outside counsel to provide front-line legal advice and support to address other legal, regulatory, and business issues. Review, draft, and negotiate commercial agreements, including non-disclosure agreements, vendor contracts, consulting agreements, and engagement letters. Develop and support process improvement initiatives to deliver more efficient and effective legal services. Keep abreast of legal and regulatory developments, trends, and best practices to identify the potential impact on the firm's business. Perform some supervisory responsibilities over the department staff and outside counsel. The candidate must have a Law degree (Juris Doctor) from a U.S. accredited law school and have a California bar membership in good standing. Must have 5-8 years of post-law school legal experience. Should have demonstrated experience with venture capital financings, general corporate law, and mergers and acquisitions, including leading deal teams to closing, performing and managing due diligence, and drafting and negotiating NDAs, term sheets, definitive agreements, and other ancillary documents. Should have significant experience in equity financings for emerging companies, good familiarity with NVCA forms, CFIUS experience, and M&A, Private Equity, or Joint Venture experience. Experience analyzing, negotiating, and drafting commercial agreements is a plus. Should have experience in complex cross-jurisdictional projects. Should have good business judgment demonstrated through 5+ years of legal counseling to business clients. Should have a proven track record of learning quickly, taking initiative, working proactively, being resourceful, and taking on additional responsibility. Knowledge of the Internet, Word Processing software, and Spreadsheet software. Familiarity with software such as Outlook, Word, Powerpoint, and Excel is a must. Should have basic knowledge of semiconductor and high-tech subject areas. Knowledge of, and comfort with, higher mathematical processes and financial math are extremely helpful. Should have an understanding of intellectual property issues in contracts; familiarity with post-closing integration. Should have the ability to read, analyze, and interpret complex legal and business/contractual documents and agreements. Should have the flexibility and the ability to work under pressure with tight deadlines. Should have excellent writing skills for a variety of audiences and work products. Should have strong analytical skills and the ability to balance business needs with legal risks and to partner with business functions to provide sound legal advice in support of corporate objectives. Should be comfortable working across multiple cultures and time zones to support global operations. Should be able to effectively interact with, influence, and collaborate with other members of the organization, including senior executives, in a dynamic environment with constantly changing priorities. Should have superb interpersonal skills that demonstrate the ability to become a trusted expert for all levels of the organization. Should have the ability to navigate highly matrixed, an international organization with an overlap of roles and responsibilities (e.g. legal and business teams at headquarters in Korea). Must have basic math skills. Should have the ability to apply principles of logical or scientific thinking to a wide range of intellectual and practical problems and combine this with legal analysis and business acumen.
