Associate Counsel, Corporate & Transactions Responsibilities: Reviews and drafts documents, negotiates, and counsels with respect to third party transactions including mergers and acquisitions, divestitures, joint ventures, partnerships, investments, and other transactions with third parties. Conducts and summarizes due diligence and assists with transaction closings. Drafts and revises organizational documents, bylaws, minutes, and other corporate organizational documents including those related to internal HMH restructurings. Prepares, negotiates, drafts, and reviews contracts. Reviews applicable laws, rules and regulations and case law relating to corporate and transactional matters. Must be able to accept responsibility for and direction of a project often working alone and/or with paralegals in the department. Must be able to perform a variety of tasks, often changing from one to another without loss of composure or efficiency. Must demonstrate ability to: accept responsibility for the direction, control or planning of an activity; understand instructions and underlying principles; present information or ideas clearly and, communicate effectively. Must possess clear evidence of integrity and the highest standards of ethical conduct; an ability and willingness to work as a member of an interdisciplinary team; an ability to motivate and win the respect and loyalty of staff, be a strong contributor to an excellent team, and accomplish results through others; and, an ability to influence others in a positive manner, partnering with team members to meet the needs of the system. Other duties and/or projects as assigned. Adheres to HMH Organizational competencies and standards of behavior.

Qualifications: BA/BS. JD required from an accredited law school. Unrestricted license to practice law in New Jersey. Must have 4 years of experience as an attorney with a focus on corporate transactions and health care transactions. Strong academic background. Excellent communication, written and verbal skills, and strong organizational skills. Must be a client-centered problem solver. Must have a history of progressively responsible legal experience and demonstrate a record of accomplishment. Ability to handle complex corporate and transactional matters thoroughly and effectively. Must be a valued member and active participant in project teams focused on a transaction or series of transactions. Experience in health law matters, including tax exempt organizations, regulatory requirements including licensing, Medicare and Medicaid rules, conflict of interest, fraud and abuse, state and federal laws governing privacy and security of health information, financings and alternative sources of capital (e.g. private equity and venture capital), referral relationships, and compliance programs. Experience at a law firm handling health care transactions. Admitted to New Jersey Bar.
