Associate Corporate Counsel

Associate Corporate Counsel Duties: The candidate will provide guidance and assistance to the Legal Team, working with the VP-Legal, Corporate Counsel, and Associate Corporate Counsel, proactively providing support with minimal direction. Collaborate with the Legal Team, Compliance Team, Cyber Security Team, IT team and the Operations Team, along with leadership, sales personnel, and other stakeholders as necessary. Communicate effectively and concisely about contracts and amendments. Develop an understanding of the relevant insurance-related contracts such as, Agency Agreements, Producer Agreements, and Business Associates Agreements. Manage and utilize contract management systems to assist Company to track and fulfill terms of contracts, including renewal, termination, data, and privacy requirements. Be responsible for all parts of the contract lifecycle and administration, including drafting, negotiating, revising, managing, and auditing complex contracts, including nondisclosure agreements, client service agreements, vendor service agreements, event agreements, license and subscription agreements, insurer/agency agreements, brokerage agreements, data processing and privacy agreements, and similar documents. Exercise expertise and good business judgment to ensure that terms of contracts are in accordance with Company policies and procedures, applicable federal and state regulations and laws, business needs, and work to minimize the Company's risks and exposure. Support the continuous improvement of form agreements, templates, and legal processes. Ability to provide guidance on data security and privacy laws and prepare and implement an incident response a plus. Communicate with internal and external stakeholders. Interact with outside counsel, carrier counsel, and client counsel as necessary. Conduct legal and internet research as directed, and will be able to summarize your findings concisely, while accounting for business needs versus legal risk. Modify or make recommendations to improve Company procedures and processes. Research and advise on special issues. Create workflows that ensure productivity and conformance to Company best practices.

Qualifications: The candidate should have a Juris Doctorate from an ABA-accredited law school. Are a current member of the California Bar in good standing. Should have 2+ years experience in a law firm and 2+ years working on contracts in-house. Must have experience with insurance companies, insurance brokerages, related industries, or highly regulated industries. Must have experience reviewing, negotiating, and drafting contracts. Are detail-oriented, with strong proofing skills, and able to work in a fast-paced environment? Have experience with data security & privacy laws, especially California and NYDFS regulations. Have operational experience developing privacy or vendor management programs. Having experience counseling on cybersecurity legal issues, including incident response is a plus. Demonstrate tact, capacity for discreetly handling sensitive and confidential information, and ability to maintain professionalism under pressure. Can manage multiple projects concurrently; with a strong ability to prioritize. Have the ability to set, communicate, and meet expectations around timing; including, managing time-sensitive matters and adhering to strict deadlines where necessary. Are proficient at researching Lexis. Have the interpersonal skills necessary to effectively communicate in person, by video conference, by telephone and email, and in writing, with all levels of the organization including management, peers, and clients. Can proactively identify and manage legal and business risks and issues, propose solutions, and actively participate in Company's strategic growth and expansion. Can appraise, consult, and escalate current and potential risks/issues to supervisors. Have proven problem-solving skills with an analytical and business-savvy approach.
