Corporate Counsel Duties: Provide practical, actionable advice and strategic support on a variety of corporate and securities matters. Manage global M&A and other strategic transactions, including assisting in drafting letters of intent, standardizing due diligence execution across teams, assisting in drafting and negotiating deal agreements, and coordinating post-close matters. Collaborate with the environment team to help execute our global leasing strategy, including reviewing, negotiating, and closing lease transactions. Monitor, track, and advise on potential impacts of new and proposed corporate and securities laws to ensure continued compliance. Manage corporate governance matters, including the preparation of board of director meeting materials and minutes, and maintenance of policies. Support international corporate governance, regulatory compliance, international registrations, compliance and management of domestic and international subsidies. Build processes to position the corporate function to scale with the company as it grows. Work collaboratively with the finance, environment, stock administration, corporate development, and other cross-functional teams on a variety of matters. Qualifications: A Juris Doctor (JD) degree and admission to the California bar or ability to be registered as in-house counsel in California. 6+ years of combined experience practicing as a corporate and securities attorney within a law firm and in-house. Deep subject matter expertise in corporate law, securities law, and mergers and acquisitions with a sense of practical application. Excellent drafting, written and verbal communication skills and ability to adapt legal requirements in balanced, creative and pragmatic ways to facilitate clear and open communication at all levels of the organization. Ability to directly interact with, and build strong relationships and trust, with internal clients and leaders. Preferred Qualifications: Prior experience working with a fast-growing technology company. Experience working with corporate governance laws within a variety of global jurisdictions. Familiarity using Notion.
