VP, Assistant General Counsel - Business Banking

VP, Assistant General Counsel - Business Banking Responsibilities: Advice on lending and non-lending products offered by Business Banking to Government and Not for Profit clients. Support cash management products. Provide general transactional support to the business, including review of commitments, proposal letters, and bids, negotiating bank forms and customs documents with borrowers and issuers counsel, and advising bank counsel on firm policies and procedures. Advise business regarding deposit account matters and escalations, wire transfers, ACH and fraud matters. Partner with regulatory compliance, risk and controls partners, regarding all laws and regulations, policies and procedures impacting the business. Support business initiatives including new product offerings, marketing, training, and review of policies and procedures. Help drive various projects and initiatives to meet business, regulatory, and Legal Department priorities. Keep abreast of and regularly report on legal and regulatory changes impacting the business.

Qualifications: 5+ years of relevant legal experience in commercial lending, public finance, or government preferably with UCC Article 9 or real estate experience. Excellent oral, written, time management, and organizational skills. Proven record of successfully handling multiple responsibilities in a fast-paced environment. Demonstrated leadership, problem-solving and project management capabilities. Team player with good interpersonal skills and ability to collaborate with legal and non-legal clients and colleagues. Must be licensed to practice law and a member in good standing in in the state/jurisdiction in which the position is based or otherwise in compliance with the in-house counsel registration rules of that state/jurisdiction. Knowledge and experience on the following topics are also desired: Direct purchase bonds and conduit deals; Issues related to state and local governments including procurement laws and collateralization of public fund deposits; Federal laws and regulations pertaining to banks; UCC Articles 4, 4A, or 8 or 9; and Nacha and other payment rules and regulations.
