Vice President/Real Estate Counsel The candidate will perform all legal work necessary for the acquisition of land for development, including letter of intent and contract negotiation, transfer document negotiation and critical date monitoring. Perform all legal work necessary for the acquisition or disposition of single site retail properties or smaller portfolios of such properties. Perform all typical real estate due diligence on all acquisitions, and drive the due diligence process by interacting with and giving direction to the company underwriting team, and meet or exceed all due diligence deadlines. Prepares letters of intent, contracts, closing documents, confidentiality agreements, snda s, landlord lien waivers, and estoppels certificates and other legal documents. Keep General Counsel informed of the status of all negotiations and the status of all acquisitions and dispositions, and proactively monitor and assess both the deal person and General Counsel of risks involved in transactions. Assist deal person in structuring, negotiating and successfully closing on development land transactions, in successfully disposing of completed projects, and in successfully disposing of existing core REIT properties. Proactively drive deals and oversee deals to completion. Handle 1031 exchanges and reverse exchanges for the company, with guidance from the accounting department and General Counsel. Handel the preparation, and modification of intra-company loan documentation, and coordinate the proper execution and deliver of the same. Have mastery of the corporate structure of the company, including the nature and limitations of the taxable REIT subsidiary, and the nature and limitation of the core REIT entity. Obtain mastery of the legal team's form documents and use of the form documents. Create and keep updated checklists for all transactions. Interact and manage internal relationships with the accounting department on any property transfer to coordinate entities involved, and fund to be wired. Basic negotiation skills required. Basic understanding of underlying REIT laws required. Basic understanding of laws and regulations governing 1031 exchanges required. Organization, prioritization and time usage required. Verbal/written communication skills required. Ability to manage stress required. Decision making ability required. Problem solving / analytical skills required. J.D. and licensed in the State of Florida or willing to become licensed in the state of Florida required. Bachelor's Degree from a four-year college or university required. Doctor of Law (J.D.) from an accredited law school required. 3 years commercial real estate experience, with an emphasis on commercial property acquisition and disposition required.
