Senior Counsel, Securities and Governance Responsibilities: Work as a key team member evaluating, reviewing and handling corporate securities law matters, SEC reporting (including Forms 10-K, 10-Q, and 8-K, registration statements, proxy statements and annual reports, and Section 16 filings), and annual stockholders meetings. Support Legal team on corporate governance matters, including preparation for PayPal board and committee meetings, stockholder engagement, investor relations support, maintenance and update of applicable corporate governance policies and procedures. Perform benchmarking and other research assignments on public company disclosures and corporate governance matters. Monitor, track and advise on potential impacts of new and proposed securities laws, corporate governance developments and market trends to ensure continued compliance. Provide legal support for Treasury activities, including capital market transactions, credit facilities, parent company guarantees, KYC requests, and policy updates. Active oversight of subsidiary management matters globally, including restructurings, acquired entity integrations, intercompany agreements and compliance and regulatory requirements and requests. Help to develop, implement, and continually improve company and team processes and procedures. Work closely with global cross-functional internal teams (Investor Relations, Finance, Treasury, regional Corporate Secretaries, Global Entity Management, Compliance, ESG, Tax and Human Resources functions) on various other applicable projects.

Requirements: JD degree with excellent academic credentials. 6-8 years of expertise in securities law ( 33 and 34 Act), SEC reporting matters and corporate governance with 2+ years at a top-tier law firm. Strong experience in subsidiary management, capital markets and treasury matters. Strong working knowledge of PowerPoint and Excel. Flexibility and creativity in dealing with complex legal issues. Excellent interpersonal, written, and oral communications skills. Well organized and hard-working, with the ability to thrive in a fast-paced work environment and manage numerous projects simultaneously under deadline pressure. A high-level of intellectual, professional, and interpersonal agility and flexibility, combined with strong analytical and problem-solving skills. Ability to work collaboratively and effectively with business clients and other functions. Team oriented, with a strong sense of humor, unquestioned ethics and integrity, sound judgment and high tolerance for ambiguity. Ability to cherish innovation, embrace change, and believe that there is always room for improvement.
