Corporate Counsel The candidate will be drafting, reviewing and negotiating complex construction agreements, EPC agreements, balance of plant agreements, services agreements, licensing, non-disclosure/confidentiality agreements, and other corporate legal documentation and agreements with clients, subcontractors, vendors, suppliers, partners and the like during the course of Company operations. Assist in bid evaluations and preparations, RFP responses, contractual letters and other project documentation. Participate in project risk reviews from RFP through project closure. Assist project teams in management of disputes, claims and other project-level risks with the goal of resolving such matter at the lowest levels possible. Draft contract language and negotiate standard and non-standard contract terms and conditions to reduce contractual risk. Draft and continuously improve standard forms of agreements and legal templates. Assist in implementing and continuously improving the department's operations, systems, structures, tools, templates, documents and processes. Manage activities and resources of legal department including providing direction and performance management oversight of the Assistant Corporate Counsel. Working with Director of Supply Chain Management, contribute to subcontractor management system, process and documentation improvements. Assist in the development and recommendation of Company policy and position on legal issues. Oversee defense of claims and litigations, including development of, in conjunction with outside counsel, claim evaluations, litigation strategies, dispute resolution process and settlement evaluations. Work within Company's systems and processes to review performance in contracts to assure compliance with terms of contracts. Maintain knowledge of relevant contractual and industry precedents and procedures. Anticipate and guard against legal, regulatory and compliace risks facing the Company. Act as a general knowledge resource for other team members, support functions and managment within the Company. Provide legal counsel to other Company-related entities / service groups. Support internal and external audits. Provide regular reporting to the Director and other executive team members to provide as required. Represent the Company and its best interests with a high degree of professionalism at all times and in accordance with the ethics and values of the Company. Establish and maintain positive relationships with existing and new clients. Manage coordination with the parent company legal team and external legal counsel and participate in regular reporting as required. Select outside counsel, when necessary, and direct the activities of outside counsel in the performance of their services. Manage and/or provide legal advice with respect to transactions (e.g., acquisitions, real estate, equipment, etc.). Undertake special projects/initiatives as assigned. Should have a Juris Doctorate and valid active membership in the State Bar as an Attorney qualified to practice law in one or more states (required). Must have 7+ years of legal experience minimum in construction law and corporate law (required). Previous corporate or construction law experience or experience in an architecture, engineering or construction firm strongly preferred. Take reasonable care of your own and others health and safety and of those who may be affected by the day-to-day delivery of this role by taking personal responsibility for working toward Wanzek's Zero Injury principles. Take personal responsibility for fostering a green workplace through sustainable work practices. Knowledge of legal principles and contract law. Ability to read, interpret and analyze laws, regulations and court decisions as they relate to the Company. Ability to prepare a variety of legal documents, including agreements and contracts. Ability to handle confidential material with discretion. Excellent interpersonal, analytical and logical thinking skills required. Ability to communicate effectively, both verbally and in writing with excellent negotiation skills required. Write reports, business correspondence and document project activities. Effectively present information and respond to questions from top management, project managers, superintendents, clients, customers and the general public. Proven ability to create and maintain strong working relationships with both internal and external clients. Understand essential elements of commercial general liability, commercial auto, workers compensation, umbrella liability insurance, builder's risk, operator's risk, professional indemnity, director's and officers, contractor's equipment, and commercial property insurances. Proficient in Microsoft Office Suite including Outlook, Word, Excel, and PowerPoint is essential, strong knowledge of SharePoint and document control software is an advantage.
