VP, Corporate Counsel, Mergers and Acquisitions Responsibilities: Lead legal advisor on designated M&A transactions (e.g., acquisitions, divestitures, joint ventures). Advising business personnel (e.g., members of Corporate Development and senior business unit executives (who may not be familiar with M&A processes)) on legal and business issues in M&A transactions. Regularly taking lead role in directly negotiating terms of M&A transactions and relevant agreements with counterparties. Coordinating other Prudential LCBE and non-legal function with respect to M&A transactions, including tax, labor and employment, technology, intellectual property, litigation, benefits, real estate, government affairs, communications and other areas. Participating in the development of preliminary indications of interest in targets around the world. Providing upfront structuring advice with respect to contemplated acquisitions and dispositions. Drafting and negotiating a wide variety of agreements, including, without limitation, investment banking and due diligence provider engagement letters, confidentiality agreements, definitive purchase and sale agreements, joint venture agreements, transition services agreements and shareholder agreements. Providing advice with respect to assessing both legal risks and reputational risks arising out of contemplated transactions. Effectively managing and overseeing utilization of outside law firms to provide cost-effective legal services. Provide support, as needed, for other Legal and Compliance areas. Where appropriate, engage with regulators (together with governmental affairs) regarding M&A transactions.

Desired Qualifications: Should have 6 years of legal experience, including training in a major national law firm. Previous in-house experience is a plus. Substantial experience in merger and acquisition transactions. Experience with the insurance and financial services industry is highly desired. Extensive experience drafting complex agreements. Strong analytical skills and demonstration of a high degree of sophisticated judgment. Superior interpersonal, organizational, written, and oral communications skills. Outstanding project management skills and ability to perform effectively under strict time constraints. The ability to balance the large volume of deals simultaneously.
