Corporate Counsel Responsibilities: Draft, negotiate and review a wide variety of transactional agreements, including those associated with acquisitions and dispositions, confidentiality agreements, and commercial contracts associated with the business. Provide support for M&A transactions, including the deal structure and LOI terms, planning and assisting in due diligence, and drafting and negotiating deal agreements. Work closely with business colleagues and provide strategic advice to relevant business units related to commercial contracts and disputes and operational matters, including employment law issues. Qualifications: JD and Bar Admission are required. 4-to 6 years of relevant experience with a law firm or in-house position is required. Publicly traded company experience preferred. Experience drafting and negotiating a variety of commercial contracts required; experience managing litigation matters, including contract disputes and employment law matters preferred. Demonstrate subject matter expertise in substantive legal areas, keep abreast of new developments and instill best practices. Superb oral and written communication skills. Possesses excellent follow-up skills, accuracy, and attention to detail. Demonstrated ability to provide strategic, timely, and practical legal advice. Ability to work independently on a wide variety of matters, prioritizing work appropriately with business colleagues and supervisors. Willingness to take on additional duties and responsibilities as needed.
