Corporate Counsel Duties: Draft, review, negotiate and provide guidance on a wide variety of agreements including licensing agreements, service agreements, and vendor agreements. Partner with internal stakeholders to lead customer negotiations, including drafting and negotiating privacy-related terms. Triage and prioritize contract review in alignment with internal needs and manage expectations with internal business partners while delivering results efficiently. Collaborate with other members of the legal team and other business units to achieve business objectives and mitigate legal risks. Support ongoing privacy, security, and compliance initiatives. Assist with the evaluation of privacy laws, regulatory guidance, enforcement actions, and other similar guidelines as they relate to new and existing products, features, and/or business processes. Work closely with the business teams and senior management to understand the needs and strategic objectives of the Company to provide high quality, pragmatic, and focused legal advice and assist in responsibly growing the business. When needed, provide support to the M&A team, including assisting with due diligence and the review of acquisition-related agreements.

Qualifications: J.D. degree with admission to, and in good standing with, at least one State Bar. Should have 5+ years of substantive commercial legal experience, preferably in-house at a SaaS technology company. Experience with privacy and data protection laws, regulations and standards, particularly the GDPR, and CCPA, familiarity with additional laws (PIPEDA, LGPD, CCPA, Data Protection Act, etc.). Expertise in drafting and negotiating various commercial agreements typical to the marketing and technology sectors, such as subscription agreements, NDAs, services agreements, data processing agreements, and partnership agreements, including negotiating commercial terms directly with customers and their procurement teams. Excellent written/verbal communication, presentation, and negotiation skills. Ability to work effectively with senior management and internal clients, simultaneously manage multiple projects, and meet deadlines with a consistently high-quality work product. Preferred Qualifications: Admission to the Massachusetts Bar. Recognized privacy training and/or certification, including CIPP/US, CIPM, and/or CIPP/E. Information Security governance training and/or certification, such as CISSP. Experience supporting Information Security governance programs. Experience with legal issues particular to the advertising industry (including rules by trade bodies such as the NAI, DAA, IAB, etc.) and technology companies. Excellent communicator, project manager, and team player. Strong interpersonal skills and work ethic and ability to work and contribute to a small, but efficient, legal team.
