Legal Contracts Counsel, Procurement - Assistant Director Duties: Serving as a trusted advisor to the procurement organization by providing practical legal advice and counseling on key legal risks associated with procurement contracts, including sponsorships, events, software, services, emerging technologies, robotics process automation and AI, as well as advising on legal issues related to development, use and onward licensing of such technology in connection with EY clients, and developing solutions to such issues while effectively managing legal and practical business considerations. Reviewing contract requests to determine and advise on appropriate contract structure and forms based on the facts presented by the internal clients and stakeholders and the relationship between other EY member firms, if any, and the vendor. Drafting and negotiating technology procurement contracts. Working collaboratively as a member of a team of procurement lawyers and professionals, and with internal clients, to develop strategies to address identified issues. Effectively assessing, balancing, and communicating to business stakeholders and GCO leadership the risks and benefits associated with the multiple and sometimes competing objectives related to procurement of products, services and technology. Drafting and negotiating client-facing professional services contracts from time to time. Building rapport with internal clients and stakeholders to deliver exceptional service to such clients and stakeholders. Understanding legal and client business goals and how they impact the types of products and services procured. Collaborating with other team members in working through complex issues. Coordinating with cross-functional teams (tax, independence, information security) and legal colleagues (data privacy, employment, alliance) in order to provide a comprehensive risk assessment and risk management. Understanding the firm's policies, procedures and guidelines that are relevant to procurement transactions and how contract drafting, negotiation and execution are impacted by such items. Applying the effective use of existing or new tools and processes to daily work and towards developing, recommending and implementing solutions to enhance the performance of the team. Effectively managing workflow in a proactive and highly responsive manner. Developing and delivering training on legal matters, knowledge sharing and best practices.

Qualifications: Bachelor's degree from an accredited four-year college/university, top of class preferred. JD Degree from a top national law school. Good standing with the GA State Bar, including being current on individual state CLE requirements. 3+ years of experience as a practicing attorney. Excellent communication skills, both oral and written. Excellent subject matter expertise in technology and non-technology procurement transactions and the applicable market, legal and regulatory environment impacting and informing such transactions. High degree of cultural and emotional intelligence, and demonstrated aptitude for resilience, flexibility, and ability to adapt to changing circumstances and dynamics. Ability to grasp, understand, and accurately articulate and document complex transactions. Ability to team effectively with colleagues in other functions and geographic locations. Ability to work remotely and at the EY Atlanta office on a hybrid basis. Expertise in negotiation techniques, contract law, contract drafting, licensing, intellectual property, procurement and project management relevant to complex technology contracts, emerging technologies (including in respect of open source software), and managed services. Ability to rapidly acquire comprehensive knowledge of relevant firm policies and related processes, and ability to apply such policies and processes to procurement contracts. Ability to assess size and scope of contemplated transactions and to tailor contracts accordingly. Solution-oriented nature with a focus on exceptional client service. Respectful and professional communication style with team members, internal colleagues and vendors.
