Contract Corporate Attorney Responsibilities: Provide practical legal and business advice to company personnel on commercial and corporate transactions, new business and investment opportunities, reporting, and compliance matters. Draft and negotiate commercial contracts with a broad range of counterparties including joint venture partners, project developers, vendors, and other business organizations. Rapidly understand and apply complex legal, market, political, and regulatory aspects of our business. Utilize internal network with guidance from company Legal colleagues to apply legal, market and regulatory best practice within own area of specialization. Exercise a complex level of legal judgment. Identify significant corporate risks in business matters; work with assurance and business to develop appropriate mitigation measures. Contribute to the Company's development and improvement of contract templates. Support corporate governance efforts, including drafting minutes, operating agreements and consents, registering and maintaining entities, and interpreting/administering corporate policies and procedures. Aid in developing and implementing legal strategies, solutions, and preventative practices with mid-and long-term corporate impact related to compliance. Identify, design, and implement process improvements, including contract management and approval procedures. Bolster current knowledge of industry trends in legal and compliance matters relating to the energy and innovative technology industries. Qualifications: B.S. or B.A. and Juris Doctor Degree. State bar membership (MA or NY preferred). Should have 4 -10 years of experience. Strong experience providing counsel in areas of commercial contracts and corporate transactions is required. Experience in the energy industry, real estate, and land development, project development and/or finance are pluses; preference for a top-tier law firm and/or transferable in-house experience. Experience in dealing with complex, high-value matters and/or in the delivery of large-scale projects in a regulated environment either in the energy sector or another sector raising comparable issues. Experience of effectively managing relationships with team members and stakeholders and working collaboratively to deliver solutions. Experience working with rapidly growing technology companies is a plus. Excellent commercial judgment along with strong written and oral communication skills. Strong interpersonal and communication skills, capable of taking a leading legal role and influencing stakeholders at senior levels and gaining support and commitment from a broad group. Ability to manage multiple projects simultaneously, meet competing deadlines, and work both independently and on teams.
