VP and Senior Counsel E-Commerce, Intellectual Property and Technology Duties: Provide guidance and leadership for technology adoption supporting Information Technology, Brand & Digital, E-commerce, Social Media, Mobile Applications, Vacation Ownership, Marketing, Resort Operations, Owner and Exchange Services, Human Resources, Financial Services, and other business lines and functional departments. Provide guidance and support for the evaluation, procurement, licensing, implementation and lifecycle management associated with proposed vendors, applications and activities making use of new and evolving technologies, service arrangements, customer interfaces, devices and media platforms. Provide guidance relating to utilization of licensed intellectual property, proposed branding initiatives and competitive trademarks, managing clearance searches, applications for and maintenance of trademark portfolios, and providing support for licensing and other transactional activities pertaining to ownership or use of intellectual property. Proactively monitor evolving technologies and associated company, regulatory and contractual compliance requirements relevant to practice area and assisting in the management of associated processes to ensure compliance by the company, including timely adoption of compliant behaviors, best practices and technological enhancements to business practices and offerings. Collaboration with Procurement, Privacy, Data Security and Risk Management group representatives and with lead Privacy attorney to maintain compliance with MVW governance and policies, including legal, regulatory, and contractual requirements and industry standards to coordinate efficient business processes with appropriate utilization of technologies, including engagement with and information relating to customers and associates. Provide day-to-day support and direction to the Brand, Digital Customer Experience, Information Technology, and Procurement groups. Manage outside counsel and outside counsel legal budgets. Perform such other legal services and support as may be deemed reasonable and appropriate by Law Department leadership.

Qualifications: Excellent academic record with a law degree from a top law school; admission to the bar of any state. 12 years of relevant experience in a well-regarded law firm or comparable corporate environment, including substantial experience with technology, e-commerce and intellectual property matters. Experience with negotiating complex technology and related services contracts. Experience with counseling clients in connection with proposals to utilize innovative technologies. Experience with intellectual property matters, including trademarks and licensing. Excellent written and oral communication and presentation skills. Strong negotiation and drafting skills. Ability to think strategically and provide leadership. Ability to understand and analyze laws and legal concepts of foreign jurisdictions.
