Corporate Counsel The candidate will prepare, review and negotiate a variety of commercial agreements, including software as service agreements, partnership or reseller agreements, and technology-related commercial transactions. Analyze complex business and legal issues to provide advice and recommendations on commercial (domestic and international) sales transactions. Provide legal support for a wide array of internal teams including Product, Sales, Finance, Marketing, and Office of the CEO; engage with stakeholders to manage legal elements of product and services evolution and offerings. Provide strategic business and legal advice to develop a comprehensive, long-term approach to relationships with customers, key partners, and vendors. Draft, revise, and provide guidance/training on contract templates and procedures to help build the legal team as a growing business function. Contribute to the continuous development and improvement of the company's legal processes and including commercial licensing, vendor contracting, consultant contracting, and employee-related processes. Assist internal compliance efforts in maintaining SOC 2 Type II certification and compliance around GDPR, HIPAA, and general privacy regulations and standards. Maintain and manage relationships with outside counsel for immigration, employment law, and corporate law as needs require. Represent the Legal department in company-wide initiatives; manage and timely respond to various legal requests, and projects.

The candidate should have 4+ years of law firm or in-house legal experience. BS/BA or higher with strong academic credentials. State Bar membership (California Bar preferred but open to other states). Excited to roll up your sleeves and hit the ground running in a rapidly scaling start-up. Strong attention to detail; efficient with time; ability to spot risks and provide sound legal advice. Excellent writing, oral communication, and strong organizational skills; proficiency in drafting and negotiating complex legal documents and the ability to present information in a written and oral form clearly and effectively to legal and non-legal counterparts. General understanding of software products, software licensing, SaaS services, and commercial law, and exposure to global contracts, SAAS, tech contracts, NDAs, and compliance documents. Proven experience working independently and managing multiple projects simultaneously to completion; effectively handling a high volume of assignments with rapid cycles, concurrent deadlines, and changing priorities with a rapid turnaround in a fast-paced environment. Experience building systems and processes to manage and automate common requests, formalize processes, improve transparency, and support volume growth. Experience in supporting internal teams in problem-solving and acting as a trusted adviser to stakeholders based on accurate and detail-oriented legal and strong business judgment. Self-motivated, independent worker, highly collaborative, and able to work in a fast-paced, innovative environment while remaining flexible, proactive, resourceful, and efficient. Maintain high standards and high-quality work products. Intellectually curious, and eager to learn about emerging technologies and new things quickly. Team-oriented, positive attitude and a shared belief that no project is too small or large, and committed to excellent customer service.
