Corporate Counsel The candidate will provide general securities law advice for the drafting and filing of all Exchange Act reports, including reports on Form 10-K, 10-Q, and 8-K, proxy statements, and Section 16 reports, with the SEC. Assist with the public reporting and disclosure process, including disclosure committee activities, press releases, investor presentations, and rating agency presentations. Provide legal counsel for all equity issuances and NYSE listing compliance, including in connection with equity incentive compensation plans. Provide legal counsel and support for corporate governance matters, both at the public company level and for subsidiaries and affiliates. Provide legal counsel on public debt and equity offerings and bank financing transactions. Provide legal counsel on equity incentive compensation plan matters. Provide legal counsel in the proxy statement disclosure and annual meeting process. Draft a wide variety of transactional documents, including acquisition agreements, letters of intent, and confidentiality agreements. Draft joint venture documents, including memoranda of understanding, shareholders agreements, and relevant charter documents. Collaborate with relevant business units and other functional support departments, such as Treasury, Tax, Accounting, Risk Management, and human resources in connection with reporting and disclosure and on business transaction matters. Support transactional due diligence. Perform other related duties as assigned. Should have JD from an accredited university with an excellent academic record; 3-6 years of corporate/ securities/ finance/ governance / transactional experience in a top-tier law firm or corporate legal department. Required to be licensed to practice law in one or more states.
