Associate General Counsel, Commercial Contracts

Associate General Counsel, Commercial Contracts The candidate will draft, review and negotiate a variety of commercial contracts, including non-disclosure agreements, data licenses, technology and software licenses, intellectual property licenses, professional services and vendor agreements. Identify and proactively counsel business leaders on legal risks associated with current and future business operations. In partnership with Chief Privacy Officer, advise business leaders on general data privacy and protection matters. Research legal issues and manage risk associated with commercial contracts and relationships. Assist the Deputy General Counsel, Commercial Contracts in developing and maintaining a contract management strategy. Special projects on an as-needed basis. At least 5 years law firm or a combination of law firm and in-house hands-on experience drafting and negotiating commercial contracts, technology contracts, data licenses, technology and software licenses, trademark licenses and outsourcing contracts. General understanding of data privacy and protection laws. Excellent verbal and written communication, negotiation and presentation skills with the ability to effectively interact with legal and non-legal people. Intellectually curious with a desire to understand every aspect of the business. Aptitude to quickly learn and develop new skills. Ability to anticipate problems and understand both short-term and long-term implications. Independent and innovative thinker with excellent analytical and reasoning skills and judgment. Ability to juggle multiple clients and projects simultaneously with competing demands. Detail-oriented with strong organizational skills. Strong work ethic with excellent follow up skills and a proactive mindset. A self-starter with an ability to work independently and as part of a team. Licensed to practice law in Virginia or eligible to be admitted under a Virginia Corporate Counsel Certificate.
