Trade Finance Attorney

Trade Finance Attorney Responsibilities: Provide legal support for a host of U.S. and global trade products and services, including receivables finance generally and supply chain finance specifically, export and agency finance, trade loans, traditional trade products (primarily letters of credit) and risk participation agreements, as well as digital initiatives. Work with regional trade lawyers supporting products and initiatives in their respective regions and coordinate with outside counsel as required to manage global and regional matters, including conducting global and regional due diligence projects. Provide thorough, accurate, timely and practical legal advice with an appropriate risk/reward balance on all applicable issues, including with respect to deal execution, new product development, product support, operational matters and marketing communications. Facilitate product development and implementation by providing advice on innovative trade technologies, such as blockchain, in conjunction with industry groups where appropriate. Draft and negotiate contracts, working closely with Contract Management colleagues on contract issues. Provide legal support with respect to legal and regulatory issues. Participate in the resolution of troubled credits and disputed matters. Partner with others in Legal, Risk and Compliance in order to ensure that issues are appropriately vetted and addressed. Identify and escalate risk issues to appropriate senior personnel, and advise clients when non-standard approvals need to be obtained before proceeding with an initiative.

Qualifications: Juris Doctor from an ABA-accredited institution. Admitted to State Bar in good standing. 7-12 years of law firm and/or internal counsel experience supporting the financial services industry, including experience with corporate finance generally and/or trade finance specifically. Experience with receivables finance and supply chain finance (or, alternatively, secured lending or securitization) and UCC Articles 3 and 9. Experience with export and agency finance (export credit agency supported credit facilities). Experience with all aspects of letters of credit (issuing, confirming, advising and discounting), ISP98, UCP600 and UCC Article 5, and traditional trade products is especially helpful. Experience with bilateral or syndicated credit agreements and risk participation agreements. Experience with cross-border issues (conducting diligence and executing deals). Strong negotiation and organizational skills. The ability to communicate clearly, both verbally and in writing, at all levels within the organization, including being able to make and communicate difficult decisions to appropriate personnel in the organization. Strong work ethic and self-initiative, with the ability to manage a high volume of work in a fast-paced and changing environment. The ability to effectively balance risk and reward and to be a strategic partner with clients to help them achieve their business objectives with an appropriate risk/reward balance. Strong interpersonal skills with the ability to work well as part of a team with other lawyers, clients, Risk, Compliance, Contract Management, and other partners.
