Assistant General Counsel, Corporate Legal The candidate will provide legal advice regarding the structuring of sophisticated corporate transactions. Negotiate and draft merger, acquisition, joint venture and investment agreements. Advise senior management as to risks, how to mitigate them and considerations in balancing them. Manage transaction process from early stages, through closing (including working with clients and third-party advisors in an auction process, having a detailed understanding of the applicable businesses, identifying potential issues, and negotiating with counterparties and third parties to resolve issues). Manage post-closing integration matters and operational issues and disputes. Work on multiple transactions concurrently. Work with senior theatrical distribution executives from various territories on issues and agreements including from sub-distribution agreements and addressing new and evolving regulatory requirements. Advise regarding form agreement updates and help implement updates in a variety of territories. Consult, coordinate and manage outside counsel, including with respect to local legal requirements. Work on premium and large format theatrical distribution arrangements and technology and infrastructure-related licenses. Provide corporate legal advice regarding general corporate maintenance, legal entity formations and dissolutions.

The candidate should have a JD degree from top-tier ABA accredited law school and other strong academic credentials. Member of Bar in good standing. Should have 4 years of major law firm experience with expertise in negotiating complex, strategic transactions, including M&A transactions, joint ventures, and investments. Excellent written/verbal communication, presentation and negotiation skills. Ability to work both independently and as a team player with personnel at all levels of the company. Ability to provide clear and concise advice that ensures the recipient is confident that he/she has been well advised by sophisticated counsel. Flexibility to (i) manage multiple matters that involve tight timelines, and (ii) develop new expertise as business needs change. Detail-oriented with strong organizational skills and ability to identify, prioritize and resolve issues quickly and effectively in a complex and creative environment. Creative problem solver who finds solutions to business issues while maintaining legal and corporate standards. Excellent interpersonal skills, positive attitude, and team player with a good sense of humor.
