Manager, Corporate and Securities Counsel The candidate will ensure compliance with federal and state securities and corporate laws, as well as applicable rules and regulations of NYSE. Prepare and review SEC filings, including periodic and current reports, Section 16 filings, proxy statements, etc., and advise on applicable securities law issues, including the company's insider trading policy and Regulation FD compliance. Provide support for the board of directors, including preparing and reviewing materials for the board and its committees. Manage the timeline and preparation for the annual stockholder meeting. Advise on executive compensation matters and prepare and review equity compensation disclosure. Provide support for corporate transactions, including deal structure and LOI terms, planning and assisting in due diligence, drafting and negotiating deal agreements, and actively managing deal process and execution. Review press releases, earnings releases, and investor presentations. Support global corporate initiatives and subsidiary management. Ensure and advise on compliance with credit agreements and arrangements. Prepare corporate documents, such as minutes, consents, resolutions, certificates, charters, and policies. Collaborate with, advise, and support a broad range of departments and functions, including finance, accounting, tax, investor relations, and others as needed. A J.D. from an accredited law school with strong academic credentials is required. Should have 6 years of strong experience with corporate and securities law. Prior in-house experience at a public company is strongly preferred. Experience interacting with and advising senior management. Excellent management skills and business judgment with a capacity to make decisions and give advice, which demonstrates an understanding of overall business objectives and the risks/rewards of each situation. Strong organizational skills, flexibility, and ability to thrive in a fast-paced environment. Proactive personality, eager to learn new areas of the law, and committed to understanding the industry and the company's business. Ability to communicate effectively with a non-legal audience is required.
