Commercial & Privacy Counsel The candidate will draft, review, and negotiate contracts for complex commercial transactions, including customer contracts, data processing addenda, non-disclosure agreements, and cutting-edge partnership contracts. Will find creative solutions in negotiations to address impasses and close deals. Learn about the ins and outs of the Product to equip to understand its legal implications. Join customer calls to answer questions about commercial standards, products, privacy practices, and operational norms and policies. Advise internal business clients on company policies, negotiation strategy, and legal issues and risks. Coordinate and collaborate with colleagues from billing, support, and security teams to efficiently resolve commercial matters. Assist in creating and improving standard form agreements, draft new templates for complex partnerships, revise playbooks, and streamline legal processes as needed as we develop new products and enter new international markets. Exercise sound judgment when negotiating key business and legal terms that balance business objectives and legal risks. Occasionally collaborate with outside counsel on complex or third-party paper deals, as needed. Project manage Firms global data protection and privacy compliance efforts across the company, including partnering with and delegating to Firms Legal Operations function as needed. Roll up your sleeves to learn the technical details of products and services inside and out. Advising Firms Legal colleagues on privacy issues that arise within their respective domains (for example, enterprise customer questions, or product counseling issues, that touch on privacy). Support Firm Privacy-by-Design program, including improving and updating processes in partnership with Firms Legal colleagues, the Product team, and the Engineering team. Stay abreast of changes to laws and policies relevant to product goals and objectives, educating key stakeholders as necessary. The candidate should have 2+ years of demonstrated success in a role focusing on commercial matters, and a passion for doing it for a long while yet. Must have J.D. with a strong academic record, and membership in at least one State Bar. Experience in the SaaS, ad-tech, and/or martech industries is required. Must have solid experience advising on and supporting compliance with the GDPR and other significant data protection regimes. Should have experience managing large cross-functional privacy projects. Policy drafting experience (both internal and external-facing) is required.
