VP, Corporate Counsel, PGIM Real Estate The candidate will provide substantive legal advice and broad legal oversight in connection with PGIM RE's loan servicing activities. This will specifically include responsibilities in connection with core, core plus, high yield, Fannie Mae, Freddie Mac, and FHA mortgage lending activities. Will be supporting all areas of the servicing business, including asset management, servicing, accounting and treasury, and collateral management. Supporting the business in the development of new product offerings and investment strategies impacting proprietary and third-party mortgage lending programs. Managing the performance of, and relationships with, outside counsel. Overseeing litigation and bankruptcy matters. Supporting all aspects of the servicing business, responding to ad-hoc legal issues, and identifying and seeking mitigants to risks that may impact the business (e.g., operational risks, regulatory risks, and reputational risks). Collaborating with other members of the Law Department on global initiatives such as the use of technology and the continued development and maintenance of standardized positions, processes, procedures, and documents. Working in collaboration with other members of the Law Department both within the U.S. and internationally on the assessment of and development of appropriate responses to market changes, and legal and regulatory issues. Attending, contributing to, and organizing legal training sessions (both external and internal). Upholding PGIM and Law Department core values and active involvement in organizational initiatives (e.g. diversity, equity and inclusion, pro bono, and volunteerism).

The candidate should preferably have 7 years of relevant experience, either in private practice (preferably with an AmLaw 100 firm) or in-house, and admission to the Bar of at least one State. Should preferably have an established track record of relevant experience in a sophisticated commercial real estate finance practice involving the origination and servicing of complex mortgage loans, including meaningful experience across all property types and capital sources (experience with non-US matters is a plus). Meaningful experience negotiating and drafting loan servicing agreements is a plus. Experience with the purchase and sale of commercial mortgage loans and/or mortgage servicing rights is desired. Familiarity with state licensing issues and regulatory developments impacting commercial mortgage servicing is a plus. Experience with contractual obligations impacting the servicing of Fannie Mae, Freddie Mac, and FHA multifamily mortgages is desired. Experience with rating agency reviews and audits and addressing legal issues arising in connection with such reviews is a plus.
