Securities & Assistant Corporate Secretary - Counsel

Securities & Assistant Corporate Secretary - Counsel The candidate will advise on compliance with securities laws and regulations and support securities filings including the Proxy Statement, Forms 10-K, 10-Q and 8-K, Section 16 filings, and other filings. Advise Controller's group, Investor Relations, and Corporate Communications regarding quarterly disclosures and presentations, analyst meeting materials, disclosures regarding significant transactions and other developments. Assists in development of legal strategies for the Filtration business. May influence or contribute to overall objectives and goals of organization. Provides support and leadership in legal function projects. Provide guidance on the Code of Business Conduct, Insider Trading and other policies. Participate in the planning and execution of annual shareholder meetings and assist with the shareholder engagement process. Manage, assist and advise on oversight of subsidiary governance and management. Act as liaison with the company's transfer agent and other service providers / experts (e.g., proxy solicitors, institutional shareholder advisors etc.). Assist HR with the compensation committee regarding various aspects of stock plan administration. Shares in management of outside counsel relationships. Provide general corporate and commercial transaction legal support, including specifically as it relates to asset acquisitions and divestitures and the treasury function (credit facilities, debt issuance and equity offerings). Making sense of complex, high quantity, and sometimes contradictory information to effectively solve problems. Handling conflict situations effectively, with a minimum of noise. Using compelling arguments to gain the support and commitment of others. Adapting approach and demeanor in real time to match the shifting demands of different situations. Seeing ahead to future possibilities and translating them into breakthrough strategies. Juris doctor degree from an accredited law school. License to practice law in home jurisdiction.
