Corporate Counsel I The candidate will effectively manage the ongoing review of all third-party vendor contracts for Commerce Bancshares, Inc. and its subsidiary companies, adhering to the policies and procedures approved by the Company. Collaborate within Legal Department or other internal customers as needed to ensure significant risk issues are addressed by the appropriate subject matter experts. Collaborate with the internal team managing third-party and vendor risk on enhancements and improvement to the contract review process. Maintain and expand knowledge of contract issues affecting the financial industry. Draft, review and manage customer agreements and related documents for various lines of business. Complete legal research projects and perform reviews of legal department materials. Manage and perform scheduled reviews of Legal Department form documents. Collaborate effectively within Legal Department or with other internal business divisions as needed. Perform other legal projects as assigned. The candidate should have a degree from an accredited law school and admittance (or ability to gain admittance) to an acceptable State Bar required. Should have 2+ years of legal or other relevant experience, preferably in a financial institution or corporate legal setting. Strong knowledge of the legal field, including best practices. Independent judgment and decision-making skills. Ability to identify process improvements and assist to implement changes. Ability to formulate acceptable contract language when needed, or redline vendor contracts/documents. Effectively and concisely communicate risk factors to all levels of management as needed to support their informed decisions on risk management when approving a contract. Efficiently resolve contract wording and processing issues while considering multiple perspectives, groups and inputs. Motivated and organized self-starter with strong attention to detail and the ability to manage multiple priorities. Inquisitive, agile and strong team player with excellent written, verbal and interpersonal communication skills. Ability to remain adaptable and resilient to all situations with an optimistic outlook and cast a positive shadow that is aligned with our culture and Core Values. Basic level proficiency with Microsoft Word, Excel and Outlook.
