Assistant General Counsel, Corporate Law The candidate will be helping Conduent comply with all public company requirements, including quarterly reports, current reports, NASDAQ rules, and related Conduent policies. Leading or addressing legal needs in connection with any financing, M&A, or other corporate transactions. Leading a small team that includes corporate governance functions, board support functions, IP, entity management, and real estate. Playing a key role in preparing for quarterly and special board meetings. Leading the legal review of earnings releases, investor presentations, and press releases. Leading the preparation for the annual meeting, including the proxy statement. Reviewing all corporate communications materials and generally ensuring that Conduent's public-facing communication and marketing are aligned and compliant. Serving as the Legal Department relationship partner for Treasury, M&A, Finance, and Marketing. Addressing any SEC, FINRA, or Nasdaq comment letters, correspondence, or other matters. Managing Conduent's insider trading policy as well as Section 16 compliance. Collaborating closely with other Legal and Compliance Department colleagues and functional support groups to provide general legal advice and counsel. Acting on behalf of the General Counsel as directed by the General Counsel. The candidate should have a BS / BA and JD from a top-tier law school. Licensed to practice law in one or more relevant jurisdictions. Should have 6 years of relevant experience. Top-tier law firm training and experience. Ability to write clearly, effectively, carefully, and strategically in public filings, annual reports, business and legal correspondence, and other reports. Strength in modeling exemplary behavior to internal teams and external resources. Mastery of to-do list management, from prioritization to make sure responsibilities are not missed. General knowledge of earnings, financial statements, and related issues. Comfort with adopting new technology. Ability to effectively present (orally and in writing) information to all levels of an organization. High sense of urgency while maintaining the highest quality of work. Deep subject matter expertise in the Securities Act and Securities Exchange Act and all related regulations. Business and financial acumen.
