Associate General Counsel - Energy Transition

Associate General Counsel - Energy Transition The candidate will be providing a broad range of legal support to projects being developed by the Energy Transition team including project structuring (i.e. partnerships, joint ventures, etc.) and project financing advice. This will include working with internal stakeholders such as tax, corporate finance and insurance. Conducting commercial contract reviews, interpretation, and negotiation with clients, vendors, technology providers, subcontractors, joint venture partners, etc. Formulating strategy and drafting/reviewing commercial agreements for developing and deploying innovative services or technologies towards meeting Industry's decarbonization objectives. This may include working with external IP counsel, drafting and reviewing agreements such as technology licenses and joint development agreements, developing patent strategies, etc. Identifying and supervising external specialist counsel to assist from time to time with complex legal matters. This often includes negotiating fee arrangements to ensure an appropriate and cost-effective balance of internal vs external legal resources. Ensuring that the Energy Transition team's business activities and proposed investments are in compliance with all applicable laws and regulations, Enerflex's policies and procedures as well as within risk parameters. Collaborating regularly with cross-functional teams to ensure alignment and results, including Corporate Development, Finance, Legal, Tax, Internal Audit, Risk and Marketing. Ensuring that relevant company template agreements and applicable legal and business processes are up to date with respect to applicable laws/regulations and best practices. The candidate should be licensed and in good standing to practice law with a minimum of 8 years of relevant experience as a lawyer in corporate/commercial law gained in private practice or as in-house counsel. Demonstrated ability to lead, manage and coordinate legal aspects of complex transactions involving numerous disciplines and participants. Experienced in establishing and supporting partnerships, joint venture structures, strategic relationships and associated project financing structures. Excellent communication and interpersonal skills, including the ability to communicate at the Executive level and also to an audience with different skills and levels of understanding of complex legal matters. Strong results orientation, customer focus, a commitment to providing the highest quality client service, and a desire to develop trusted advisor relationships with business clients. Capability to work efficiently, meet demanding deadlines in a fast-paced environment, prioritize workflow, and adjust to frequent fluctuations in workload and business imperatives. Intellectually curious, organized and self-motivated with the ability to work autonomously and assume leadership of projects and initiatives as required. Strong interest and understanding of overall sustainability drivers and key challenges of decarbonizing heavy industries and the wider global ecosystem is a plus. Ability and willingness to work flexible hours to meet the demands of the business.
