Corporate Counsel - Sourcing Responsibilities: Accountable for drafting, structuring and reviewing agreements with vendors, service providers and licensors in coordination with GS Commodity Managers to cover all internal/ indirect purchase requirements from all areas of the business; IT, HR, Service Delivery, Sales & Marketing, Supply Chain, Development, .and as needed to meet corporate go-to-market strategies. Provides best-in-class negotiation on contracts for goods and services and/or protection of confidential information and interacts with management and business unit personnel to achieve optimal terms to meet business objectives. Responsible for examining contracts and related documents to ensure completeness and accuracy, as well as conformance to applicable laws, rules, precedents, and corporate requirements and policies. Coordinates with finance, treasury, tax and other internal personnel to evaluate contractual terms and advise on legal issues relating to business engagements and assist in identification of risks and potential mitigation efforts or alternatives. Collaborates across global legal teams and cross-functional teams to facilitate efficient procurement processes including the development and maintenance of templates and implementation and adherence to effective policies and procedures on contract management and risk mitigation. Proactively works with business units to provide contractual and/or legal guidelines and other resources to address procurement needs and to provide contract information in a fast-paced environment. Responsible for tracking/reporting on all contracts reviewed and signed in order to provide reliable and up-to-date contract data to management and GS stakeholders. Coordinates with GS personnel on ensuring compliance with GS policies and procedures, especially concerning contract approval and signature.

Qualifications: Bachelor's Degree (B.A.) and a Juris Doctorate (J.D.) required. Member of the bar of at least one (1) U.S. state or the District of Columbia is required. Should have 5 years of post-J.D. professional work experience. Should have 3 years of experience in an international contracts/business law environment (in-house legal department of an international company or business law firm working for international clients). Experience negotiating complex software as a service, software licensing, professional services, and/or other technology transaction agreements is a plus. Experience in data privacy is a plus. Experience collaborating with cross-functional teams to execute on company and project goals. Outstanding interpersonal, verbal and written communication skills and proven drafting and negotiation skills. Ability to communicate legal issues in a straightforward manner, provide practical analysis and advice, and deliver results effectively and efficiently.
