Associate Director, Commercial Contracts Counsel

Associate Director, Commercial Contracts Counsel The candidate will be partnering with the commercial team to structure, draft, revise and negotiate a range of complex legal contracts with qualified treatment centers and payers, including state Medicaid agencies and commercial insurers, beginning from term sheets through contract execution and potential contract expansion. Potentially supporting other functions on drafting and negotiating with their significant contracts, such as commercial supply agreements. Communicating risks and explaining contract language and terminology effectively and clearly at all levels of the organization. Assisting in the supervision of non-lawyer legal professionals in the negotiation and finalization of standard legal agreements, such as confidentiality agreements, consulting agreements, and clinical trial agreements. Participating in projects to improve contracting processes by collaborating with procurement, vendor management and operations teams. Developing cross-functional training materials and contract templates as needed. Managing external counsel relationships as appropriate. A J.D. from an accredited law school and admitted to practice in at least 1 US state. Should have 3+ years of experience in contracting, drafting, and negotiating contracts and/or transactions; experience with complex commercial contracts and/or transactions, healthcare and payer experience preferred. Experience working with internal or external clients in the pharmaceutical or biotechnology industry is essential; in-house experience is preferred. Ability to interact and communicate effectively cross-functionally at all levels of the organization. Excellent interpersonal, influencing and negotiation skills as well as excellent verbal and written communication skills. Self-direction and ability to work in a dynamic, fast-paced, high-volume environment and meet deadlines with curiosity to learn new things and dig into the 'why'. Proficiency in managing multiple projects and workstreams with the ability to identify areas for process improvement and drive solutions. Desire to become proficient in the contract management system and related IT solutions.
