Corporate Counsel The candidate will support corporate development with transactions. Provide sound advice and guidance on legal and business-related issues to senior business leaders. Manage and assist with general corporate governance and structure matters and provide Board support. Structure, negotiate, and close transactional agreements (i.e., vendor and procurement contracts) in collaboration with internal subject matter experts (privacy, compliance, regulatory, security, etc.). Assist Associate General Counsel (Commercial and Corporate) in the development, implementation and adoption of firm-wide policies, as needed. Manage risk and ensure business and compliance needs are accurately reflected in agreements. Develop and deliver training on legal issues and support continuous improvements of forms, policies and processes to help streamline, simplify and automate value-added processes. The candidate should have a JD, top academic credentials, top law firm training and member in good standing of a State Bar. Should have 5-9 years of relevant corporate/transactional experience, which may include working with venture-backed companies, drafting minutes and managing board governance matters, private financings, complex commercial transactions, and executive compensation. Outstanding analytical, drafting, negotiation, collaboration, written and communication skills. Exceptional and pragmatic organizational, project management, problem-solving and prioritization skills. Flexibility and eagerness to work hard in a fast-paced environment and meet tight deadlines. The ability to think and execute both strategically and tactically. Highly effective interpersonal skills with the ability to work with a wide variety of people, at all levels inside and outside the organization. Service-oriented, responsive, professional, and high integrity.
