Associate Counsel, Corporate and Real Estate The candidate will draft, review, and negotiate a wide range of commercial leasing agreements to support and maintain our corporate real estate portfolio throughout the United States, including lease amendments, subleases, extensions, estoppel certificates, subordination non-disturbance and attornment agreements, work letters and construction contracts, as well documenting (and escalating, as needed) defaults and disputes. Identify and analyze risk and legal issues, and communicate sound, understandable legal and business recommendations to the various internal stakeholders you support across various Compass teams, including issues related to lease administration, operations/facilities, and project management matters. Work closely with internal business clients and legal subject matter experts on a variety of other complex business initiatives and corporate matters, such as joint ventures and other strategic transactions (including financial transactions and/or M&A), commercial contract negotiation, subsidiary entity management (e.g. preparation of secretaries certificates, letters of credit, resolutions, consents, etc.), securities filings, and other general corporate matters. Guide the continuous improvement of standard form agreements and legal processes, with an emphasis on efficiency and scalability (including developing training, templates, and playbooks). Assist in managing outside legal counsel on related matters. Support other special projects across the team, including diligence, legal research, organization and project management. Strong academic credentials including a JD and membership in good standing in at least one State Bar (NY or CA bar a plus). Should have 2+ years of top-tier law firm and/or in-house experience in a real estate group or with a focus on real estate transactions (with an emphasis on commercial leasing) or other general corporate matters. Confidence operating in a fast-paced environment with the desire to learn the business. Detail-oriented with superior organizational skills and the ability to manage multiple projects and priorities simultaneously under tight deadlines and in a dynamic environment. A team player with low ego who can effectively work with other attorneys and colleagues. Exceptional written and verbal communication skills and an ability to clearly and simply explain complex ideas. A willingness to learn new areas of law, acquire new skills, and take on additional and/or new responsibilities within the team on an as-needed basis.
