Associate General Counsel - Corporate The candidate will be responsible for the handling of all corporate legal matters across the firm's organization, including matters in merchandising, marketing, technology, finance, human resources, credit, purchasing, logistics, and more. Will be leading the corporate legal team and develops cross-functional relationships with business partners to minimize Company risks, while controlling costs and driving compliance with laws, rules, regulations, and contractual agreements. Identifies new and evolving legal requirements applicable to retailers and conceives corresponding strategies to mitigate risks to Company. Selects and supervises outside counsel, if/as needed, to execute legal strategies in an operationally efficient and cost-effective manner. Analyzes a broad range of complex legal issues to provide strategic legal counsel and drive resolution of legal matters, consistent with Company objectives, best interests, and overall strategy. Drafts, reviews and negotiates a variety of commercial agreements. Develops policies, processes, and forms to minimize legal exposure and educate Company leadership on legal considerations, risks, and ramifications. Leads legal projects end-to-end, including reforms to business practices if/as needed to comply with applicable laws and to attenuate risks. Maintains solid knowledge of the Company's business strategies, operations, and objectives. Anticipates, monitors and communicates evolving developments in the law impacting Company's business. Identifies and tracks key trends to inform risk profiles and develop mitigation strategies. Influences and educates Company leadership on legal implications relevant to its respective business area(s). Develops training and other business resources to champion legal awareness and drive compliance.

The candidate should have a Juris Doctor degree from an accredited law school. Must have 8-10 years of experience in private practice and/or corporate legal department. Strong managerial skills for supervisory role with multiple attorney and paralegal team essential. Superior analytical ability, negotiation and writing skills needed. Should have exceptional verbal/interpersonal communication skills. Must have experience with a variety of corporate law matters. Must preferably be Member of State Bar or licensed by the State Bar. Significant corporate law experience either in-house or law firm desired. Prior retail or merchandising experience plus. Should preferably have experience with regulatory matters. Familiarity with privacy law plus.
