Corporate Counsel The candidate will draft, review and negotiate commercial agreements, including vendor agreements, NDAs, real estate purchase agreements, update and maintain template repository. Draft and maintain governance-related policies and procedures. Review and advise on marketing materials, website copy, promotional rules, and consumer communications. Coordinate with internal teams and external service providers to ensure agreements, communications, and other corporate materials properly reflect enterprise risk tolerances and are otherwise drafted and managed by global corporate policies and expectations. Anticipate and proactively guard against legal and compliance risks by conducting research and providing analysis and advice on various matters and materials. Occasional Work Travel. The candidate should have a JD and 3+ years of practicing attorney experience. Admission and good standing status in a State Bar Association with willingness and qualification to be Authorized House Counsel. In-house and/or law firm corporate transactional, governance, and/or fundraising experience (including due diligence, international subsidiary management, preparation of Board materials, and power-point presentations). Experience in corporate drafting, including resolutions, consents, minutes, certificates, charters, and bylaws. Comfortable working in a fast-paced environment, with an ability to prioritize and meet deadlines. Willingness to learn other practice areas with the ability to distill complex legal and technical concepts into plain, concise language. Very strong work ethic, organizational skills, and extreme attention to detail. Can independently exercise sound judgment with minimal supervision. Demonstrated ability to own and solve problems, working independently and collaboratively. High social IQ to build bridges and encourage people to want to work with to foster cross-department collaboration.
