Director, Compliance, Regulatory and Privacy Counsel The candidate will advise and manage inquiries from cross-functional business partners, including, Logistics/Customs Compliance and Internal Audit departments to ensure compliance with US and Canadian Customs importing requirements, duty protest filings, and U.S. Customs initiatives such as the C-TPAT Trade Compliance program. Monitor pending and existing legislation, trade agreement negotiations and developments in the global marketplace that potentially impact the Company. Participate in industry/association (NRF/USFIA/AAFA/BSR) initiatives that could affect Company sourcing activities and/or products, including Responsible Sourcing, duty benefits, etc. Monitor and advise cross-functional teams regarding legislative and trade developments that could affect Company and product offerings. Formulate guidelines to assist overseas vendors compliance with importing requirements, including special requirements for preferential trade agreements. Maintain and update Vendor terms and conditions, policies, standards and certifications, and related Sourcing documentation. Maintain and update as necessary internal Customs and Imports Procedure Manual, CTPAT Manual and Supply Chain Compliance Manual. Advise and manage inquiries regarding vendor compliance activities, including the Conflict Minerals Compliance program. Coordinate and file responses and ongoing reporting, as applicable, with regulatory/government agencies (CBP, FTC, FDA, Canadian Customs, Competition Bureau Canada) imports/customs inquiries. Negotiate, structure and draft a variety of contracts related to the sourcing, manufacture and movement of products, including vendor agreements (contract to manufacture), logistic services agreements, shipper and carrier agreements, and purchase order terms and conditions. Advise and manage inquiries from cross-functional business partners, and coordinate with Sourcing, Quality Assurance, Technical Design and Product Integrity global teams to ensure compliance with applicable U.S. (CPSC, FTC, FDA, NIST), Canada (Health Canada, Competition Bureau), and various other state and local regulatory requirements (CA Prop 65 and state green chemistry initiatives). Advise on all product safety matters, including as they relate to design, manufacturing, packaging, standards and testing protocols. Oversee policies and procedures related to product recalls and reported incidents. Participate in industry/association (NRF/USFIA/AAFA/BSR) initiatives that could affect marketing and/or sales of Company products. Coordinate with Customer Service, Quality Assurance, and Risk Management in resolving vendor and/or consumer product safety and quality issues. Research legal issues, consult with cross-functional teams and conduct seminars and training of Company personnel to ensure compliance with all product/consumer safety regulatory matters. Coordinate and file responses, and ongoing reporting, as applicable, with regulatory/government agencies (CPSC, Health Canada, WA state) on product safety-related inquiries. Participate in the company CSIRT committee and advise on any active breaches. Advise the internal business teams (marketing, IT) about privacy regulations and ensure compliance throughout company assets. Oversee compliance related to CCPA, CPRA and other state privacy laws. Draft, negotiate and revise data privacy-related agreements, including DPAs and vendor agreements. Update company privacy policies as needed. Remain informed about privacy law updates and coordinate with outside counsel as needed.

The candidate should have a Juris Doctorate from an accredited law school. Licensed attorney in New York and/or New Jersey. Should have 6+ years of experience in a law firm or a corporate legal role. In-house experience is a plus. Knowledge of cost-effective management of outside legal resources. Proficient in Microsoft Office. Ability to work towards multiple deadlines with shifting priorities. Excellent verbal and written communication skills. Excellent organizational skills and attention to detail. Must demonstrate professionalism and a high degree of confidentiality. Excellent interpersonal skills and practical judgment. Desire to grow, learn and assist with other areas of law is a plus.
