Corporate Counsel (Contracts) The candidate will generalist role with a specialty in reviewing, drafting, and negotiating contracts, as well as advising on related matters such as intellectual property, regulatory compliance, insurance, and taxation. S/he has direct interaction with all management levels of the company and its affiliates, including senior executives, as well as with outside counsel, customers, suppliers, and other external parties. The individual in this role must be adaptable, engaged, and focused on supporting business operations. Must demonstrate the core values and purpose of : Draft, review, and negotiate a broad range of client, partner and vendor agreements by working collaboratively with business and functional teams in a manner that accomplishes the business goals, including optimization of timelines and creating a positive experience for our clients while mitigating corporate risk. Provide legal counsel, review, advice, and direction to internal customers and management on all levels regarding legal risks associated with a variety of contracts, including engineering, procurement, and construction agreements, master services agreements, professional services agreement, sales contracts, non-disclosure agreements, licensing agreements and commercial real estate transactions. Advisor. Advises business leaders on legal risks and drafts mitigation solutions around proposals, business strategies, and agreements. Actively partners with the leadership team in the execution of business development and sales transactions. Acts as a business partner to team members throughout the organization supporting them in effectively managing the company's risks and business opportunities. Provide input to other members of the legal department, upon request, with respect to areas of expertise. Conduct research and prepare memoranda relating to these areas. Planned, coordinated, and implement legal activities relating to significant company programs. Ensures the approach to and handling of legal affairs aligns with the company's core values. Manages risk and advises the leadership team on strategies to be implemented and then executes these strategies through best practices and operating standards. Advises on compliance with applicable U.S., state, local and applicable international laws and regulations through the development and implementation of compliance programs and related training. Draft and review legal documents and internal policies and procedures to ensure maximum benefit to the company and minimum exposure to risk. Manages relationships and oversees work products from outside counsel and other legal advisors. Implements and manages contract management system, processes, procedures, and database. Customer Focus / Building Relationships: Works with Crest leadership and team members to develop long-term relationships for the advancement of its businesses. Organizational Development / Self-Development / Coaching: Maintains and expands expertise of our industry and vision and is adaptable, agile, and emotionally adept. Fosters effective collaboration between departments and teams to ensure an integrated strategy and business approach. Exhibits a strong commitment to continual learning and education. Carries out other special projects which may be necessary for the support of the company. Should have a JD degree from an ABA-accredited law school. High GPA, class ranking, and/or LSAT score required. Admission to Louisiana bar. Three - seven years of relevant legal experience in one or more of the following areas: Must have superior analytical skills and communication ability (verbal and written). Ability to work independently and proactively, manage competing priorities and deadlines, exercise sound judgment, and take ownership of issues and matters through their successful conclusion. Strong interpersonal skills.
