International Negotiator
The candidate will provide a variety of legal compliance and administrative services related to complex international petroleum agreements, commercial duties and land management consultation in all aspects of international exploration and production activities. Will prepare, negotiate, and interpret agreements utilized for exploration and acquisition and/or divestment of producing properties. Coordinate the due diligence required for acquisition or divestment. Work with third party advisors who assist with acquisition/divestment transactions for the company. Maintain portfolio assets and stay abreast of global laws, political environments, cultures and regulations. Coordinate and draft oil and gas legal instruments for commercial transactions. Establish, cultivate, and maintain relationships with representatives from international oil companies and foreign governments. Analyze petroleum contracts, laws, and regulations that govern or impact oil and gas exploration, development, production, marketing and transportation activities in foreign countries. Assist with negotiating modifications to existing legislation and/or helps draft new legislation to create an environment favorable to doing business in foreign countries. Provide input regarding formulation and implementation of exploration program strategies and business development. Assist with developing strategies that optimize license and prospect portfolio strategies. Assist with the preparation, review, analysis, modifications, consummation, and administration of production sharing agreements, risk service contracts, concession agreements, confidentiality agreements, study and bidding agreements, data trade agreements, participation agreements, joint operating agreements, lifting agreements, oil sales agreements, gas sales contracts, commercial sales documents, and other marketing arrangements as well as all types of service agreements including employment contracts, consulting agreements, geophysical contracts, drilling contracts, drilling services contracts and construction contracts. Assist in the handling of problems that arise with various foreign ministries and other foreign government representatives granting the company the rights necessary to conduct oil and gas exploration and exploitation activities. Keep current on regulations, political risk factors and industry changes that may impact the company. Provide technical guidance and assistance to others in discipline. Assist other departments in the Company, including Accounting, Tax, Legal, Exploration, Operations and Drilling, and company offices in foreign locations, in the resolution of corporate commercial matters in foreign jurisdictions.
The candidate should have a Bachelor's degree in Business, PLM/Energy Management, or a J.D. degree and 5 years of equivalent oil and gas experience. Knowledge of international petroleum agreements and significant transactional experience in project development agreements for upstream, midstream, and downstream exploration and production projects in foreign countries needed. Must be proficient in general business writing as well as the more specialized language of the petroleum industry.
