Corporate/Counsel/In House/Niagara Falls, New York

Niagara Falls NY Corporate Counsel The candidate will respond to legal inquiries, prepare legal documents and draft routine contracts and legal agreements. Will research background information related to legal and compliance issues, gather records and files, and provide legal summaries. Serve as representative and liaison for company-wide and legal-specific projects. Oversee the processing of legal invoices and reconciliation of legal expenses relative to department budget, prepare budget analyses and forecasts of legal costs. Manage team of Insurance, Contracts and Legal staff. Coordinate legal affairs for company and its family of companies in Canada and the US. Manage all aspects of corporate legal compliance including shareholder documents, minute books, share transactions, resolutions, etc. Manage risk and Insurance by reviewing contracts and managing the preparation of contract documents for company-designed construction projects. Contribute to development and oversight of company compliance program. Manage the development of training materials and conduct appropriate training for team members on compliance matters. Conduct litigation management. Organize and secure legal. Manage corporate compliance with engineering laws and regulations in North America. Administer and collect quarterly litigation summaries. Serve as legal contact for audit requests. Manage corporate records: Articles & Bylaws/Operating Agreements, Minutes, Resolutions/Unanimous Written Consents, Technical Assistance Agreements, Joint Venture Agreements, Stock Certificates, and Annual Reports. Responsible for annual report filings with multiple Secretaries of State for all subsidiary companies. Ensure companies are in good standing. Create Forms Library for drafting of routine legal agreements and documents with state-specific law references and language as it relates to particular places of business. Research and draft legal and analytical review for Vice President/General Counsel. Draft various legal agreements, letters, responses and other related documents. Handle legal processes for all international documents. Prepare and enforce legal fee and expense submission procedures for outside counsel. Retain all outside counsel. Provide legal responses to Human Resources and work in partnership with Human Resources Management on escalated matters. Serve as Notary Public and Corporate Security Officer.

The candidate should be a lawyer admitted to the Bar in at least one state or province. MBA an asset. Must have 10+ years of professional legal experience in similar or related industries. Engineering and construction experience is a must. French and/or Spanish would be helpful.
