Senior Associate General Counsel The candidate oversees all legal matters in functional areas of responsibility to protect Company assets and provides preventative advice. This includes United States, Canada, and Central and Latin America. Provides senior-level counsel to management at all levels of the Company to ensure legal compliance and participates as part of team to facilitate strategic initiatives. Acts as Company representative to outside counsel to ensure effectiveness and alignment with Company objectives. Works with management of other units and individual clients to ensure alignment of department resources with unit and Company objectives. Negotiating and drafting contractual agreements, such as representative agreements, sales agreements, real estate leases, and advising on employment matters. Meeting and negotiating with customers and business partners. Drafts nondisclosure agreements and provides other legal assistance in M&A activities, including providing due diligence. Advises and oversees compliance and corporate governance issues. Keeps informed of industry-specific regulations and ensuring that appropriate risk management strategies are in place. Manages and develops a strong legal team to serve the company organization. Supervise associates involved in department activities, including assigning and reviewing work and evaluating performance. Supervise, delegate, and prioritize workload. Train staff on policies, procedures, and internal controls. Monitors performance, provides regular feedback and conducts employee performance reviews. Encourages and facilitates implementation of improvements and development. Foster employee engagement and ensure that business and operational goals are effectively communicated to employees. Acts as a role model and ensures compliance with company policies and procedures. Promote a positive working environment that encourages employee involvement to achieve excellence in productivity, customer service, quality, and Environmental Health & Safety (EHS). Coaches and counsels other employees to promote employee development and professional growth. Prepares budgetary, succession and developmental plans for the Law Department to ensure alignment and effectiveness of Department functions. Conduct training for all levels of the Company to educate on important legal topics and risk mitigation. Proactive in addressing areas of improvement including internal processes, procedures, and policies. Reports to Associate General Counsels, Senior Attorneys, Staff Attorneys, Paralegals and Contract Administrators. Interact with company General Counsel, senior management, outside legal counsel and employees at all levels to ensure legal risks are identified and appropriately addressed. Coordinate and manages work of department to assure deadlines are met and timely and accurate manner. Assures the accuracy of data presented and detailed understanding of regulations, torts, contracts, etc. Provides prompt response to management. Maintains and works within budget using sound business judgment. The candidate should have A juris doctorate (JD) degree and active license to practice law. 10+ years of practice experience including corporate/business law. Should have knowledge of several of the following areas: commercial transactions, intellectual property, litigation, products liability, labor and employment, real estate, and corporate governance and compliance issues. Strong ability to perform research and effectively and efficiently communicate results both verbally and in writing. Well networked both professionally and personally with a history of community involvement. Strong ability to interface and negotiate with outside counsel and business contacts at the highest levels. Knowledge of various corporate structures and arrangements and ability to review and recommend alternatives. Ability to effectively and accurately assess and balance risk when making business decisions. Supervisory experience preferred.
