Corporate/Counsel/In House/Aberdeen, Mississippi

Aberdeen MS Senior Corporate Counsel The candidate will negotiate, draft and review a wide range of complex contracts including, without limitation, material customer agreements, vendor agreements and other material agreements. Will provide legal research, analysis and advice to all levels of management in various departments on business decisions related to contractual, regulatory and other risks in each of the Latin America markets. Assist with and respond to requests from corporate (e.g. human resources, tax, treasury, information technology, accounting and finance) and Latin America field offices for legal support. Assist with the supervision and management of litigation, legal actions and similar matters in Latin America markets. Assist with the supervision and maintenance of corporate good standing and foreign qualifications of foreign subsidiaries, including where necessary the review, preparation and filing of reports, corporate formation documents, amendment, merger, dissolution and withdrawal documents. Provide support and assistance to local legal staff in connection with operational integration of transactions in Latin America, including assisting with closing matters. Support the Land Management function in each market. Interact with other members of the legal department to support general corporate operations. Assist with ensuring the Latin America markets compliance with Company policies and the implementation of corporate policies throughout the region. Assist with ensuring compliance with credit facilities, indentures and other financing arrangements. Keep informed of new laws, regulations and trends in Latin America markets affecting the organization, and assist with development of policies, training and educational materials. Assist with legal-related hiring and staffing needs in Latin America markets. Perform other duties as assigned.

The candidate should have strong academic credentials. A Bachelor of Arts or Bachelor of Science and Juris Doctor degrees are preferred and will consider LL.M. degree and foreign law degree. Must be Licensed to practice law in at least one state. Must have 4-7 years in a law firm or corporate law department experience. Experience in telecommunications and real estate strongly preferred. Fluency in Spanish and a working knowledge of Portuguese is required. Must be knowledgeable in practices, trends, technology and information that affect the legal department and the Company. Excellent verbal and written communication skills essential. Strong organizational skills needed. Proficiency with Word, PowerPoint and Outlook essential.
