Provider of Insurance and Financial Services seeks Senior Attorney with 5+ years of experience. The candidate with, and report to either the General Counsel or Associate General Counsel. The Attorney will provide legal services and support to all areas of the company. Providing general legal services in support of private placements, alternative investment funds, derivatives, public trading, workouts, state investment related regulatory matters, investment management activities, and investment adviser regulatory matters. Providing legal services in support of compliance with respect to investment and finance related matters imposed upon the insurance companies and registered investment adviser. Providing legal support, document review, negotiation and counsel related to transactions in the private placement and public trading areas. Providing legal support, negotiation, and counsel related to problem loan, workout and bankruptcy situations. Drafting legal correspondence, memoranda, position papers, statutory or regulatory provisions, contracts, corporate resolutions and certificates. Interfacing, communicating and working with legal professionals within the company, law firms and other institutions. Providing legal support to custodial and operations areas. Legal research and counsel in connection with investment and finance related issues. Working with various constituencies within the company and other parts of the company organization. Providing services on other legal matters, as necessary and appropriate, in support of the activities of the company. Should have a Law Degree with demonstrated, superior law school performance. An MBA degree, CFA designation, CPA certification or equivalent business experience is preferred. Experience with Internet legal resources and familiarity with general legal research resources. Excellent PC skills with proficiency in Word required. Experience in Excel, Access, PowerPoint and Outlook particularly helpful. Experience with and interest in investment and finance related issues.
