Counsel The candidate will provide a variety of legal services in support of Council membership as well as other departments at the Council including legal support for in-house transactional matters, membership requests for information, and Council publications. Will research and respond to membership requests for information, and prepare presentations and trainings when requested. Provide comprehensive legal services for all departments on Council contracts, through drafting, negotiations, staff training, and legal review and approval to ensure compliance with relevant Federal laws and Council policies. Provide assistance and consultation to Council Officers and staff on legal issues including intellectual property, event insurance and liability, privacy law, and risk management to help minimize Council liability and legal disputes. Participate in preparation of Council legal publications including writing, research and editing. Respond via email and telephone to member requests for information. Research legal topics when required and provide assistance in drafting articles and other content for Council publications and websites. Prepare and present seminars, webinars and other presentations regarding legal topics of interest to members. Work with staff to help them understand the basics of contract development; assist staff in contract drafting and negotiations; occasionally investigate and prepare analysis on specific contract issues. Provide legal guidance to staff on state corporate compliance requirements and on specific legal issues concerning intellectual property, special event liability, liability insurance and other risk management issues. Assists with developing and updating Council policies and procedures that govern day-to-day operations. Assist with maintenance of all official Council legal documents. Ensures Council compliance with legal and regulatory requirements in jurisdictions where the Council conducts business, including charitable solicitation, sales/use tax, registered agent and annual reporting requirements.

The candidate should have Undergraduate degree, law degree and admission to practice law in some jurisdiction required (preference for Virginia). Must have 2-5 years experience after law school in a law firm or in-house law department with significant transactional experience. Knowledge of tax law and experience working with exempt organizations preferred. Knowledge of contract law, tax law (particularly exempt organization issues, estate planning and deferred giving options) is preferred. Should have ability to communicate legal issues verbally and in writing is important. Writing skills are highly valued. Skill at reviewing and editing complicated and detailed documents is important. Must have interpersonal skills that enable him or her to relate well with members, staff and other Council constituencies. Should have ability to represent the Council at conferences, ABA meetings and other gatherings of foundation professionals including public speaking skills.
