Associate General Counsel Duties: Will provide high quality legal support to contracts professionals, functional groups and senior management for the operations of company. Will generally be responsible for structuring, negotiating, documenting and advising on a broad spectrum of domestic and international commercial transactions involving the sale and license of the Company's products and services, the procurement of components and licensing of software related to the manufacture and delivery of the Company's products, and compliance with applicable local laws. Will also assist in a wide range of legal matters including compliance, litigation management, dispute resolution, real estate and domestic and international regulatory compliance. Provide high quality legal advice and support; analyze legal and commercial risks and effectively advise leadership teams on how to manage such risks. Draft and negotiate a range of commercial contracts, including contracts for the sale and license of the Company's products and services to its customers, for the supply of the components and software for the manufacturing of the Company's products and defining and documenting business development and strategic relationships. Support commercial office leasing activities for the company. Provide expertise on software licensing and other intellectual property matters related to the telecommunications industry. Provide leadership, expertise and guidance to cross functional teams and to group leaders regarding all legal matters. Ensure that internal clients meet business objectives in compliance with relevant laws, regulations and ethical codes. Manage assigned global compliance projects. Manage corporate/commercial or other litigation through external counsel as required; and provide effective management of external advisors. Assist with merger and acquisition activities. Qualification Requirements: High academic achievement in the study of law, Juris Doctorate degree is required. Membership of a State Bar in good standing. 7-10 years of relevant experience. Commercial real estate leasing experience a plus. Experience in supporting overseas legal functions for domestic and international companies. Law practice with both a law firm and a corporate, in-house legal department. Experience/knowledge with telecommunications regulations and contracting/licensing for software as a service and/or cloud based services. Should have a strong understanding of commercial law, telecommunications technology and business operations worldwide. Knowledge of trade compliance and data privacy/protection a plus. Exceptional technical legal drafting and writing skills are essential. Excellent communication skills are critical, including communication across functional groups, with key customers and vendors, and among different cultures, regions, nationalities and times zones. Proven ability to interact effectively with business people. Strong analytical skills, sound judgment, and high ethical standards. Language skills are a plus.
